On 29 May 2009, Swiss Prime Site AG (SPS), Switzerland’s first investment
company specializing in real estate, concluded a share purchase agreement
with a shareholder of Jelmoli Holding Ltd. (Jelmoli) for the
acquisition of approximately 30% of Jelmoli’s share capital. On 2
June 2009, SPS submitted a pre-announcement
for a public exchange offer for the acquisition of all publicly held registered
shares of Jelmoli (exchange offer). On 14 July 2009, SPS published a corresponding exchange
offer prospectus. The Board of Directors of Jelmoli supported the exchange
offer. SPS offered Jelmoli shareholders 8.2 registered shares of SPS
per registered share of Jelmoli. 96.89% of the Jelmoli shares were offered for sale on 20 October 2009. The exchange offer made by SPS for all publicly hold registered shares of Jelmoli was successfully completed on 29 October 2009.
